In exchange for the Pogo points and other good and valuable consideration I will receive for participating in Pogo’s marketing programs, the receipt and sufficiency of which I hereby acknowledge, I agree to the following (this “Release”):
1. Grant of Rights
I hereby grant to Pogo, Inc. (“Pogo”), exercisable by and through its personnel, contractors, licensees, clients, directors, officers, representatives, successors, and affiliated entities (together with Pogo, collectively and individually, the “Authorized Persons”), a perpetual, irrevocable, royalty-free, fully paid-up, transferable, sublicensable, and worldwide right and license to video record and photograph me, and record my voice, conversation, and sounds, and to use my name, username, voice, likeness, image, photograph, statements, and any biographical material concerning me, in any and all media throughout the world now known or hereafter developed, in connection with my video surveys, AI-moderated interviews, or other content I provide through the Pogo app (collectively, “My Content”) for advertising, promotion, marketing, and other commercial and business purposes, including without limitation paid digital advertising, social media posts, blog content, website content, print materials, television, and out-of-home advertising.
I further grant the Authorized Persons the right to reproduce, publicly display, publicly perform, distribute, edit, adapt, modify, create derivative works of, and otherwise use and exploit My Content and my name, voice, likeness, image, and biographical information (collectively, “My Likeness”) in connection with Pogo’s business and the business of its clients. I agree that Pogo is and shall be the sole and exclusive owner of all recordings, photographs, and other materials created in connection with My Content.
2. Waiver of Approval Rights
I hereby waive any right of inspection or approval of My Likeness or the uses to which My Content or My Likeness may be put. I acknowledge and agree that I shall not be entitled to terminate or rescind this Release or any of the rights granted hereunder, or to enjoin or restrain the development, production, distribution, advertising, or other exploitation of My Content or My Likeness.
3. Release of Claims
I hereby release, waive, discharge, and irrevocably agree that I will not assert or maintain against the Authorized Persons any claim, action, suit, or demand of any kind or nature, including, but not limited to, those grounded upon injury, death, loss, damages, liabilities, expenses, infringement, invasion of privacy, right of publicity, defamation, libel, or slander, in connection with my participation in Pogo’s programs or the exercise of the rights or permissions granted herein.
4. Waiver of Unknown Claims
THE RELEASES HEREUNDER ARE INTENDED TO APPLY TO ALL CLAIMS NOT NOW KNOWN OR SUSPECTED TO EXIST WITH THE INTENT OF WAIVING THE EFFECT OF ANY LAWS REQUIRING PRESENT INTENT TO RELEASE FUTURE UNKNOWN CLAIMS, INCLUDING CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES:
“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
I EXPRESSLY WAIVE AND RELINQUISH ANY AND ALL RIGHTS AND BENEFITS UNDER CALIFORNIA CIVIL CODE SECTION 1542 AND ANY SIMILAR LAW OF ANY OTHER STATE OR JURISDICTION.
5. Representations and Warranties
I warrant that: (a) I am at least 18 years of age; (b) I control all of the necessary rights (or have obtained the required permissions) in order to grant this Release; (c) I have the authority to execute this Release on behalf of myself; (d) there is no third-party obligation that interferes or prevents me from granting this Release and the rights specified herein; (e) My Content does not infringe the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party; and (f) any statements I make in My Content reflect my honest opinions and genuine experience.
6. Compensation
I acknowledge that I am receiving Pogo points as disclosed on the consent screen in exchange for the rights granted in this Release, and that such compensation constitutes good and adequate consideration for this Release.
7. FTC Compliance
I understand that if My Content is used in advertising or promotional materials, it may constitute an endorsement under Federal Trade Commission guidelines. I agree that any statements in My Content reflect my honest opinions. I acknowledge that Pogo may be required to disclose the material connection between me and Pogo (i.e., that I received compensation) in connection with any such use, and I consent to such disclosure.
8. Governing Law; Miscellaneous
This Release shall be governed by the laws of the State of New York, without regard to the conflict of laws provisions thereof. This Release constitutes the entire agreement between me and Pogo with respect to the subject matter hereof. If any provision of this Release is held to be unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
